General Terms and Conditions of Service & Sale

Effective Date: May 2025 Brand: Leva & Magix Marketing Solutions Governing Location: Bengaluru, Karnataka, India

1. Acceptance of Terms

By engaging Magix Marketing Solutions or its brand "Leva" for any service or by placing an order for any product, you (the "Client") agree to be unequivocally bound by the following terms and conditions. These terms constitute a legally binding agreement between you and Magix Marketing Solutions.

2. Scope of Services & Products

We offer a comprehensive suite of marketing and merchandise solutions, including but not limited to:

  • Digital Marketing Services: Search Engine Optimization (SEO), Social Media Marketing (SMM), Pay-Per-Click (PPC) Advertising, Content Marketing, Email Marketing, and Website Development.
  • Offline Marketing Services: Print Advertising, Outdoor Media (OOH), Event Marketing, and Corporate Gifting.
  • Custom Clothing & Merchandise (Leva): Print-on-demand apparel and other custom merchandise based on Client-submitted designs and specifications.

Specific deliverables, timelines, and objectives for any service engagement will be detailed in a separate Statement of Work (SOW) or Proposal, which shall be governed by these terms.

3. Quotations, Pricing & Payments

  • Pricing: All prices are quoted in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST), unless explicitly stated otherwise. GST will be charged at the applicable rate.
  • Payment for Services (Digital & Offline Marketing):
    • Service engagements typically require an advance payment (e.g., 50%) before work commences. The remaining balance is due based on milestones or a recurring monthly retainer schedule, as outlined in the SOW.
    • All third-party costs, such as ad spend (Google Ads, Meta Ads), media buying, and printing costs, are to be borne by the Client and are payable in advance.
    • Invoices are due within 15 days of the issue date. A late fee of 2% per month will be levied on all overdue invoices.
  • Payment for Products (Clothing & Merchandise):
    • Payments for all custom merchandise must be made in full at the time of placing the order.
    • We support UPI, Net Banking, Credit/Debit Cards, and other secure payment gateways.
  • Discounts: Promotional codes or discounts must be applied at the time of checkout or payment. No retrospective adjustments will be made.

4. Client Responsibilities & Approvals

  • The Client shall provide all necessary access to information, data, brand assets (logos, content), and relevant platforms (e.g., website backend, social media accounts) required for the execution of services.
  • The Client is responsible for the legality, accuracy, and intellectual property rights of all materials provided to us.
  • Timely feedback and approvals are required from the Client to adhere to project timelines. Delays caused by a lack of Client response may result in an extension of project deadlines.

5. Project Execution, Delivery & Shipping

  • Marketing Services: Project timelines provided are estimates. We will make every reasonable effort to meet these deadlines but are not liable for delays caused by third parties or circumstances beyond our control.
  • Clothing & Merchandise (Leva):
    • Orders are printed within 1–2 working days of payment confirmation.
    • Standard delivery takes approximately 3–7 working days, contingent on the delivery location.
    • Tracking details will be shared via SMS and/or email upon dispatch.
    • Once an order enters the production phase, it cannot be cancelled or modified.
    • Shipping is free for all prepaid merchandise orders above a value of ₹499.

6. Refunds, Returns & Cancellations

  • Marketing Services: Fees for services rendered are non-refundable. Advance payments are non-refundable once work has commenced. Third-party ad spend, once paid, is strictly non-refundable. Cancellation of a retainer-based service requires a 30-day written notice.
  • Clothing & Merchandise (Leva):
    • Returns are accepted only for manufacturing defects or incorrect items delivered. We do not accept returns for issues related to size selection, color perception differences, or dissatisfaction with the Client's own design.
    • Return requests must be initiated within 72 hours of receiving the product. A clear photograph or video evidence of the defect/error is mandatory.

7. Intellectual Property (IP) Rights

  • Client's IP: The Client retains full ownership of all pre-existing trademarks, logos, content, and brand assets provided to us.
  • Our IP: We retain ownership of all our proprietary strategies, software, tools, and methodologies used in the execution of services.
  • Deliverables: Upon full and final payment, the Client is granted full ownership rights to the final, tangible deliverables created specifically for them (e.g., final logo design, ad copy, completed website). We reserve the right to showcase the completed work in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) specifies otherwise.

8. Limitation of Liability

Magix Marketing Solutions shall not be liable for any indirect, special, or consequential damages. Our total liability for any claim arising from our services or products is strictly limited to the total amount paid by the Client for the specific service or product in question. We do not guarantee specific business outcomes, such as sales figures, search engine rankings, or lead generation volumes.

9. Confidentiality

Both parties agree to treat all information shared during the engagement, including business strategies, customer data, and project details, as confidential. This information shall not be disclosed to any third party without prior written consent, both during and after the term of the engagement.

10. Jurisdiction & Governing Law

This agreement, and any disputes arising from it, shall be governed by the laws of the State of Karnataka, India. All legal proceedings shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka.

11. Amendments

These terms and conditions may be updated periodically. The "Last Updated" date will reflect the most recent version. Continued engagement with our services or use of our platform after such changes constitutes your acceptance of the new terms.
